Terms of Service for Profeex Service

This document establishes the terms and rules for using the Profeex service (hereinafter – Terms) and governs the relationship between the Client and Service Operators (hereinafter – Operators or Service).

1. General Provisions and Definitions

  1. Service Operators (Profeex): Individuals or group of individuals managing the Service located at http://profeex.io/.
  2. Client: Individual or legal entity that has accepted these Terms and uses the Service.
  3. Profeex Service: Software system providing TRON network energy (Energy) delegation services to Client wallets, accessible via: Telegram bot (@profeexbot), Web cabinet (profeex.io), and API (api.profeex.io).
  4. Acceptance of Terms: Full and unconditional acceptance of these Terms by the Client, carried out by registration in the Web cabinet, using the Telegram bot, first API call, or making the first payment for Services.
  5. Services: Delegation of TRON network resources (Energy) to the Client's wallet in accordance with the selected Tariff.

2. Terms Subject

  1. Operators provide the Client with access to the Service to receive Services for TRON network resource (Energy) delegation. The Client undertakes to use the Service in accordance with these Terms and pay for Services at the current Tariff.
  2. The Service is provided with target availability metrics and operational guarantees set forth in the Service Level Agreement (SLA), published on profeex.io/sla.

3. Rights and Obligations of the Parties

3.1. Operators' Rights and Obligations

Obligations:

  • Provide Services with target availability metrics specified in the SLA.
  • Not request or store Client private keys.

Rights:

  • Temporarily suspend Services for scheduled maintenance, notifying the Client 24 hours in advance.
  • Change Tariffs and Terms conditions, notifying the Client at least 30 calendar days in advance.

3.2. Client's Rights and Obligations

Obliged to:

  • Pay for Services in a timely manner.
  • Provide only correct data (TRON wallet address).
  • Not use the Service for illegal activities.

Right:

Receive Services in accordance with these Terms.

4. Service Cost and Payment Procedure

  1. Service cost is determined by Tariffs published on profeex.io/.
  2. Payments are made in cryptocurrencies (TRX, USDT TRC-20) or by other means specified by Operators. Payment is made by pre-funding the balance.
  3. Non-refundability of funds: Funds spent on Energy delegation are non-refundable, as delegation is an instantly consumed resource in the TRON network.

5. Liability Limitations and Warranties (AS IS)

Provision "AS IS":

The Service is provided to the Client on an "as is" (AS IS) basis. Operators give no express or implied warranties regarding continuous operation of the Service, its fitness for particular purposes, or absence of errors.

Maximum Liability Limitation:

Due to the absence of a formal legal entity, Service Operators bear no legal liability for any direct, indirect, incidental, or punitive damages to the Client, including lost profits.

Maximum liability of Operators in any case is limited to the amount paid by the Client for Services in the last billing month preceding the occurrence of damage. If the Service was provided free of charge, Operators' liability equals zero (0).

TRON Network Risk Exclusion:

Operators are not liable for losses arising from: a) failures, delays, forks, or overloads in the TRON network; b) Client's use of incorrect addresses or loss of private keys; c) actions or inaction of third-party services (wallets, exchanges).

Technical Risks:

The Client assumes all risks associated with using blockchain technologies, including price volatility and technical failures of the TRON network.

6. Privacy and Data Protection

  1. Operators collect only minimally necessary data (public TRON wallet addresses) to provide Services.
  2. Operators undertake to ensure reasonable data protection and never request, process, or store Client private keys.

7. Term and Termination Procedure

  1. These Terms take effect from the moment of their Acceptance by the Client.
  2. The agreement may be terminated:
    • At Client's initiative: By discontinuing use of the Service.
    • At Operators' initiative: In case of Client's violation of these Terms.

8. Dispute Resolution

  1. All disputes and disagreements arising from these Terms are resolved through negotiations.
  2. If agreement cannot be reached, the dispute may be submitted to arbitration or another voluntary dispute resolution mechanism agreed upon by the Parties.
  3. The Client acknowledges that due to the informal status of Operators, the possibility of formal court proceedings may be limited, and accepts this risk.
